One thing that we have learned during the dozens of M&A’s that we have performed over the years is that no two deals are alike. Each has their own identity with issues that can make or break a good transaction. While there are many such issues involved in acquiring or selling a company, usually there are only a few that will take center stage. Identifying and managing these activities correctly during due diligence is critical to the future value of the deal. There are also secondary issues that need to be understood as well, as they could become tomorrow’s problems. These issues come in the form of company culture, governance systems and an understanding of emerging issues that could affect the company long term.

We are more than the traditional consultants looking for the obvious EH&S and operational issues; we understand the underlying business links between the due diligence and the business purchase or sale. We take a holistic approach to each targeted transaction that in turn values the deal not only from the EH&S and operations liability perspective, but also for the business opportunities that the purchase or divesture may create for the client.
Throughout the transaction process having astute business people, well versed in environmental health, safety and operations, is a must. Even seasoned buyers or sellers need an experienced team to help them make better decisions around regulatory and operating matters. Whether it is knowing that a product is being commercially being phased out or the mechanical integrity of plant equipment is suspect choosing the correct consultant is critical.
